Terms and Conditions
These General Terms and Conditions ("Terms") govern the provision of services by Concepts Creation ("Concepts Creation," "We," "Us," or "Our") to its clients ("Client," "You," or "Your"). By engaging Concepts Creation for any services, you agree to be bound by these Terms.
1. Definitions

Services: Refers to the development, 3D, branding and marketing, and media production services provided by Concepts Creation, as detailed in a mutually agreed-upon Proposal, Statement of Work (SOW), or Service Agreement.

Proposal/SOW: A document outlining the specific services, deliverables, timelines, and costs for a particular project, prepared by Concepts Creation and agreed upon by the Client.

Deliverables: The tangible or intangible outputs of the Services, such as websites, software, 3D models, brand guidelines, marketing strategies, video files, audio files, designs, or reports.

Intellectual Property (IP): All patents, copyrights, trademarks, trade secrets, and other proprietary rights.
2. Services Provided
Concepts Creation offers a range of creative and technical services, including but not limited to:

Development: Website design and development, custom software solutions, application development, e-commerce platforms, and digital tools.

3D: 3D modeling, rendering, animation, visualization, and virtual reality (VR) / augmented reality (AR) content creation.

Branding & Marketing: Brand strategy, logo design, visual identity, marketing campaign development, digital marketing (SEO, SEM, social media), content marketing, and advertising.

Media Production: Video production (corporate, promotional, animation), photography, audio production, and post-production services.
The specific Services to be provided for a project will be detailed in a separate Proposal or SOW, which, upon acceptance, will form an integral part of these Terms.
3. Project Scope and Agreement
3.1. Proposal and Acceptance: All Services commence upon the Client's written acceptance (including email confirmation) of a Proposal or SOW issued by Concepts Creation. The Proposal/SOW will define the scope of work, deliverables, timelines, and payment schedule.
3.2. Changes to Scope: Any changes to the agreed-upon scope of Services, deliverables, or timelines must be submitted by the Client in writing. Concepts Creation will then provide a revised Proposal/SOW or a Change Order detailing the impact on cost, timeline, and deliverables. No changes will be implemented until a revised document is mutually agreed upon and signed by both parties.
4. Client Responsibilities
4.1. Information and Materials: The Client agrees to provide all necessary information, content, materials (e.g., text, images, logos, brand guidelines, data), and access (e.g., to hosting, APIs, analytics) required for Concepts Creation to perform the Services in a timely manner. Delays caused by the Client's failure to provide such materials may result in project delays and additional costs.
4.2. Feedback and Approvals: The Client is responsible for timely review and approval of all deliverables, milestones, and project stages as outlined in the Proposal/SOW. Delays in feedback or approvals may impact project timelines. Concepts Creation will not be liable for any delays resulting from the Client's failure to provide timely feedback or approvals.
4.3. Accuracy of Information: The Client warrants that all information and materials provided to Concepts Creation are accurate, complete, and do not infringe upon the rights of any third party.
5. Payment Terms
5.1. Fees: The fees for Services will be as set out in the Proposal/SOW. All fees are exclusive of applicable taxes (e.g., VAT, sales tax), which will be added where legally required.
5.2. Payment Schedule: Payments will be made according to the schedule outlined in the Proposal/SOW (e.g., upfront deposit, milestone payments, final payment).
5.3. Invoicing: Invoices will be issued by Concepts Creation according to the agreed payment schedule.
5.4. Payment Due Date: All invoices are due within 7 days of the invoice date, unless otherwise specified in the Proposal/SOW.
5.5. Late Payments: Concepts Creation reserves the right to charge interest on overdue amounts at a rate of 5% per month or the maximum rate permitted by law, whichever is lower, from the due date until full payment is received. Concepts Creation may also suspend Services or withhold Deliverables until all outstanding payments are made.
5.6. Additional Costs: Any costs incurred by Concepts Creation on behalf of the Client (e.g., stock photography, software licenses, third-party services, travel expenses...etc) will be invoiced separately or included in the Proposal/SOW, as agreed.
6. Intellectual Property
6.1. Client IP: The Client retains all Intellectual Property Rights in any materials provided to Concepts Creation for the purpose of the Services. The Client grants Concepts Creation a non-exclusive, royalty-free license to use such materials solely for the purpose of providing the Services.
6.2. Concepts Creation IP (Pre-existing): Concepts Creation retains all Intellectual Property Rights in any pre-existing tools, methodologies, code libraries, templates, or other materials developed or owned by Concepts Creation prior to or independently of the specific project.
6.3. Project Deliverables: Upon full and final payment of all fees due under the Proposal/SOW, Concepts Creation will assign to the Client the Intellectual Property Rights in the final Deliverables specifically created for the Client under that Proposal/SOW, excluding any Concepts Creation IP (Pre-existing) incorporated therein. Concepts Creation grants the Client a perpetual, worldwide, non-exclusive, royalty-free license to use any Concepts Creation IP (Pre-existing) incorporated into the Deliverables solely for the purpose of utilizing the Deliverables.
6.4. Portfolio Rights: Concepts Creation reserves the right to display the completed Deliverables and a description of the Services provided in its portfolio, website, and marketing materials for promotional purposes, unless otherwise agreed in writing.
7. Confidentiality
Both Concepts Creation and the Client agree to keep confidential all non-public information, data, and materials obtained from the other party during the Services, including but not limited to business plans, strategies, financial information, technical data, and client lists. This obligation does not apply to information that is publicly available, was known to the receiving party before disclosure, or is required to be disclosed by law.
8. Warranties and Disclaimers
8.1. Concepts Creation Warranty: Concepts Creation warrants that the Services will be performed professionally, consistent with industry standards, and that the Deliverables will substantially conform to the specifications outlined in the Proposal/SOW.
8.2. Client Warranty: The Client warrants that all materials provided to Concepts Creation do not infringe on any third-party intellectual property rights and that the Client has all necessary rights and permissions to use and provide such materials.
8.3. Disclaimers: * Concepts Creation does not warrant that the Services or Deliverables will be error-free, uninterrupted, or meet all of the Client's specific requirements beyond those explicitly stated in the Proposal/SOW. * Concepts Creation is not responsible for any third-party software, plugins, hosting, or services used in conjunction with the Deliverables. * Concepts Creation is not responsible for any changes made to the Deliverables by the Client or any third party after final delivery.
9. Limitation of Liability
To the maximum extent permitted by law, Concepts Creation's total liability to the Client for any claims arising out of or in connection with these Terms or the Services, whether in contract, tort (including negligence), or otherwise, shall not exceed 80% of total fees paid by the Client to Concepts Creation for the specific Services giving rise to the claim.
Concepts Creation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, even if advised of the possibility of such damages.
10. Termination
10.1. Termination for Convenience: Either party may terminate the Services by providing 10 days' written notice to the other party. In such an event, the Client shall be responsible for payment for all Services rendered and expenses incurred up to the effective date of termination.
10.2. Termination for Cause: Either party may terminate the Services immediately upon written notice if the other party commits a material breach of these Terms and fails to remedy such breach within 10 days of receiving written notice thereof.
10.3. Effect of Termination: Upon termination, the Client shall immediately pay all outstanding fees. Concepts Creation will deliver any completed Deliverables for which payment has been made or is due. All provisions of these Terms that by their nature should survive termination (including, without limitation, intellectual property, confidentiality, warranties, and limitation of liability) shall remain in full force and effect.
11. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
12. Governing Law and Dispute Resolution
12.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of laws principles.
12.2. Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute amicably, they agree to submit to the exclusive jurisdiction of the courts located in Riyadh, Kingdom of Saudi Arabia.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, together with any accepted Proposal/SOW, constitute the entire agreement between Concepts Creation and the Client regarding the Services and supersede all prior and contemporaneous agreements, proposals, or communications, whether oral or written.
15. Amendments
Concepts Creation reserves the right to update or modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on our website or providing written notice to the Client. Continued engagement with Concepts Creation after such changes constitutes acceptance of the new Terms.
